AgentReady Terms of Service

These Terms of Service ("Terms") govern your access to and use of AgentReady ("the App", "the Service") provided by CaffeineCommerce ("we", "us", "our"). By installing the App from the Shopify App Store, creating a standalone account at app.joinagentready.com, or otherwise signing in to use the Service, you agree to these Terms. If you do not agree, do not install or use the App.

1. The Service

AgentReady helps businesses understand and improve how AI assistants and search engines represent them. Depending on how you use the Service, that may include:

  • For Shopify merchants: generating Schema.org JSON-LD and AI-agent-readable structured data, writing metafields, serving llms.txt, and AI-assisted content tools on paid plans.
  • For any website (standalone): claiming and verifying a site, crawling publicly reachable pages, monitoring how AI assistants answer questions about your brand or category, and recommending improvements.
  • Optional Google Search Console connection to show your own search performance alongside those recommendations.

Shopify-specific product surfaces (for example structured-data and content capabilities that depend on a synced Shopify catalog) become available only after you link a Shopify store to your account. Standalone workspaces without a linked store use site-oriented navigation and copy.

2. Eligibility and Account

You must be at least 18 years old, or the legal age of majority in your jurisdiction, to install or use the App. If you install the App or create an account on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

You are responsible for keeping your AgentReady credentials (and, where applicable, your Shopify admin credentials) secure, and for all activity that occurs under your account. For standalone sites, you represent that you own or are authorized to monitor the domains you add.

3. Plans and Billing

AgentReady offers a free tier and several paid tiers. Plan details, prices, and feature limits are published on our pricing and billing pages and may be updated from time to time.

Shopify Billing. When you install via Shopify, paid plans are billed monthly or annually through Shopify's Billing API. Paid plans renew automatically through Shopify's billing system until you cancel. You can cancel or change plans at any time from the App's billing page; pro-ration follows Shopify's standard rules. Trials, when offered, are available once per store per plan tier.

Stripe (standalone / web). When you subscribe outside Shopify App Billing, paid plans are billed through Stripe Checkout and the Stripe Customer Portal. Subscriptions may include a trial period as shown at checkout. You authorize Stripe to charge the payment method you provide for recurring fees after any trial ends, and for applicable taxes. Failed payments may place your workspace in a past-due state until you update your payment method; we may suspend paid features after repeated failures. You can manage or cancel through the in-app Stripe billing page / Customer Portal. Stripe's terms also apply to payment processing.

Standard AI features (auto-FAQ generation, recipe / HowTo extraction, policy summarization, alt text from product data, etc.) consume a monthly quota included with applicable plans. Quota resets at the start of each calendar month and is not transferable between months.

Credits and metered work (Shopify path). Prepaid Credits are sold in packs as one-time purchases processed by Shopify; you approve each purchase, with the exact amount shown, on Shopify's own confirmation screen. Included Advanced AI Credits reset each plan cycle. Purchased Credits are separate and remain available. Metered work may include Advanced AI generation (for example, vision-based image analysis). The stated Credit cost and your available balance appear before a chargeable action. Failed generations cost nothing, results served from cache are free, and retries caused by AgentReady are not charged. Re-running work you already paid for on the same input requires your explicit approval each time; we never re-charge silently. Credits are strictly prepaid: when your balance is insufficient, the chargeable action stops rather than incurring an overage. Credits are non-refundable except as required by law or at our discretion, and unused Credits have no cash value.

AI answer monitoring spend. Scheduled or on-demand monitoring that queries third-party AI assistants incurs provider cost. Free standalone sites may be limited or excluded from recurring polling; paid sites are monitored subject to plan limits and abuse/budget brakes. We do not guarantee any particular ranking, mention rate, or AI-assistant outcome.

4. Acceptable Use

You agree that you will not, and will not permit any third party to:

  • Use the App in violation of any applicable law, regulation, or (where applicable) Shopify's Acceptable Use Policy.
  • Interfere with or disrupt the integrity or performance of the App, including by attempting to overload our infrastructure, scraping our internal endpoints, or reverse-engineering protected portions of the App.
  • Attempt to access another customer's account, store or site data, or AI quota.
  • Add or monitor domains you do not own or lack authorization to monitor.
  • Use the App to publish structured data that is misleading, fraudulent, or designed to manipulate search-engine or AI-agent ranking in ways that violate the relevant platform's policies.
  • Use the App's AI features to generate spam, deceptive content, or content that infringes a third party's intellectual property.
  • Abuse answer-monitoring or crawl features to harass others, scrape private data, or circumvent rate limits.

Material or repeated violations of this section may result in suspension or termination of your account, with or without notice.

5. Your Content and Data

You retain ownership of all content you publish on your Shopify store or website ("Your Content"), including any structured data the App generates and writes to your metafields. By using the App, you grant CaffeineCommerce a limited, non-exclusive license to access, process, and store Your Content solely for the purpose of operating the App on your behalf.

We do not use Your Content to train any general-purpose machine-learning model, and we do not share Your Content with third parties except as described in our Privacy Policy.

6. Third-Party Services

The App relies on third-party infrastructure (Vercel, Neon, Inngest, Resend), payment processors (Shopify Billing and/or Stripe), Google APIs (sign-in and optional Search Console), and, when you use AI features or answer monitoring, third-party AI providers and public AI assistants. The full list and links to each provider's privacy policy are in our Privacy Policy. Each provider operates under its own terms of service; outages or changes to those services may temporarily affect App availability.

Where you use Shopify, the App also depends on Shopify and is subject to Shopify's API rate limits, scope requirements, and availability. Loss of access to required Shopify scopes (e.g. via uninstall or scope revocation) may cause Shopify-dependent features to stop working.

7. Termination

You may terminate your use of the App at any time by uninstalling it from your Shopify admin (Shopify path), canceling your Stripe subscription (standalone path), and/or deleting your account at /dashboard/account or by emailing us. Uninstalling triggers Shopify's GDPR-compliance webhooks, which we use to revoke our access token, mark your store as uninstalled, and delete your data within the retention window described in our Privacy Policy. Standalone workspace and site deletion follows the process in the Privacy Policy.

We may suspend or terminate your access to the App, with or without notice, if we reasonably believe you have violated these Terms or if continued provision of the App is no longer commercially or legally viable.

8. Disclaimers

The App is provided "as is" and "as available", without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or that the App will operate uninterrupted or error-free.

While we work hard to make our structured-data output conformant to Schema.org and the various AI-agent and search-engine standards, we do not warrant that any specific search engine, AI agent, or third-party service will index, rank, or respond to your store in any particular way. Search-engine and AI-agent rankings depend on many factors outside of any single app's control.

9. Limitation of Liability

To the maximum extent permitted by law, in no event will CaffeineCommerce, its affiliates, or its licensors be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or related to your use of (or inability to use) the App, whether based on contract, tort, strict liability, or any other legal theory.

Our total aggregate liability to you for any claim arising out of or related to the App is limited to the greater of (a) the amount you paid us for the App in the twelve months preceding the claim, or (b) USD $50.

10. Changes to These Terms

We may update these Terms from time to time to reflect changes to our practices, the Service, or applicable law. The "Effective" date at the top of this page indicates when the Terms were last revised. Material changes will be communicated to active App users via email; continued use of the App after a change takes effect constitutes acceptance of the new Terms.

11. Governing Law

These Terms are governed by the laws of the jurisdiction in which CaffeineCommerce is incorporated, without regard to its conflict-of-laws principles. Any dispute arising under or related to these Terms or the App will be resolved in the courts of that jurisdiction, and you consent to personal jurisdiction there.
